A Conversation with Michael F. Paparella - Business First of Louisville:
In your opinion, are more mergerd deals failing in their finalstages – if so, why? In the middlde market, generally, yes, more deales are failing. The reason most oftehn centers on the financial performance of the business deterioratingv duringthe company’s marketingf process. As performance falls off given thestruggling economy, buyerws seek downward adjustments to the purchase When the downward adjustments become too large, as determined by the selle r and their value expectations, the deal is often delayexd until performance improves, or is canceled altogether. Is it a good time for a busines s ownerto sell?
It depends on the industry, but in broad yes, this is still a good time for middled market businesses to sell. If a companyu has continued strong performance, a defensible product or service and stronghmanagement team, almost any time will be a good time to Why sell to a private equity firm over a strategidc buyer? They generally retain the management team, employees, facilities and brands. They allo current owners and other employees to share in owninvgthe business. They serve as a business helpingwith finance, planning and board-levep oversight. Private equity firms provide owners the optiojn to monetize some ofthe company’s net worth withou t giving up their day-to-day roles.
Finally, they provids these attributes with little disruption to the What isthe “perfect storm?” For the perfect storm begins when the economty and the sector in which they operater are performing well. Then, crediyt markets provide high levelsof low-cost debt. the company has consistently goodperformance year-over-year amid high demand for This was generally the scenario from mid-200e3 until mid-2007. The economy and credit markets have not been cooperatingv as muchsince then, but demand for acquisitions among private equity funds and strategic buyerz remains high. How would you define for a private equity poinrtof view?
Middle-market private equity firme seeking to acquire healthy companies tend to focud on building value throughh revenue expansion, as opposed to operations improvements and cost So, they seek opportunities that demonstratse growth potential for their hold periof and beyond. It’s important to remember they need to sell the busineszs inthe future, and the next buyer will also want sustainable revenues growth.

5 Who Thrive: Leather Soul sees Rodeo Drive as the perfect fit - Tampa Bay Business Journal:
Park plans to open his secondx store later this year inBeverly Hills, just off prestigiouw Rodeo Drive. He’s also looking to doublde his space at thethis year, less than two yearsa after moving in. Park’s growth has stemmed from a carefull cultivation of customers andvendors he’s the only authorizedd retailer for several brands — and a savvuy use of technology to promote a traditional, low-techb product. Part of Park’s strategy to expand his 5-year-old businessz has been to nurture his, and the store’s, reputatiohn as an expert in men’x shoes and fashion.
And he’ws undeterred by the recession, even though the shoezs he sells retail upwardsof $500 per “I’m 100 percent confidenrt I’m going to do well,” he said of the Californis move. He has done his research, and met with his onlin clients to make sure that the markeris there. Leather Soul had revenues of $1.3 million last year 35 percent of that from Internetsale — which exceeded Park’s goal by 30 This year he wants to best that by anotherd 30 percent. He’s financing the expansion to Beverly Hillsd with hisown money, with assistancee from Bank of Hawaii and help from some childhoodf friends.
The brands at Leatherf Soul — the American-made Alden; British brandsa Edward Green, John Lobb and Gazianol & Girling, and the French label J.M. Weston — are not availabler anywhere elsein Hawaii. “The products I they’re all the best he said. “Even in a bad economy, people still want good The decision to go to the Los Angeless area came about after the sales representativefrom Massachusetts-basedd Alden approached Park about an opportunity to take over the shoe departmentr of a well-known men’s store in Beverly Hills. The companu had a dealer in Northerhn California, but no presence in the southerbn part ofthe state.
Park met with people from the store, whic h he declined to name, and thought it seemed like a good But then, while driving around the neighborhood, he beganh to notice a lot of vacant retailp space. “If you think Hawaii is bad, it’s twicd as bad in he said. “I just thought there must be some opportunityh for agood deal.” He returned to Los Angelee a month later, met with real estate brokerx and began looking at retail The place he picked was one that he just “stumbled” a historic building at the corner of Rodeo Drives and Little Santa Monica The ground-floor space is also next to a shoe-repair Park found that landlords are much more williny to negotiate in this economy than they were just a coupls of years ago.
A half-dozen retail spaces on Rodeo Drive, less than a blocjk from the one Park is are listed for lease withrent “negotiable,” according to Park has signed a letter of inten t for a 650-square-foot space and is in negotiations for the aiming for a December opening. “Thes same spot a year-and-a-half ago would have been twicsas expensive,” he said. He’s also talking with the Festivak Cos., which manages the Royal Hawaiian Center, about moving to a space that’ s twice the size of his 600-square-foot store on the thired level ofBuilding A.

Twelve charged with defrauding Miami-Dade health plan - South Florida Business Journal:
State insurance fraud investigators arrested eighft of the suspects in a swee p that beganin Miami-Dade and Broware counties. Three others are expectes to surrender, two of them in South Florida. Stilk being sought is Dennis M. Montero, whom investigators identifiex asthe group's ringleader. Montero, a 39-year-old formerd Miamian, formed two fake medical-equipmenyt companies and recruited the hospitaol workers to participate in making fraudulent claims for unneeded and nonexistentymedical supplies, investigators said. They said he fled to Ga., during their 17-month investigation.
So far, the investigation -- dubbes Operation Terminal Illness -- has led to charges against 28 people, including 16 arrested last February in connectiom with a separate but similar scheme that also involved hospital employees and targeted thesame self-insurance plan administered by Blue Cross/Blue Shield for public employees of Miami-Dade. Jacksonm Memorial is an affiliate of themetro government, makingt its employees eligible to participate in the healtuh coverage. "Insurance fraud hits everyone in the Commissioner Bill Nelson said in announcing thelatesy arrests. "And if public employees are involved, it violates a speciall trust.
" The new charges allege that Montero and four hospitalp employees committed organized fraux as well asgrand theft. The seven other hospital workerzs face grandtheft charges. Investigators said the charges involvde morethan $415,000 worthj of fraudulent claims filed from Januar 1996 to April 1999 for nebulizeres and pharmaceuticals commonly used in treating respiratoru ailments. Of that amount, they said, payments totalingv $222,651 were actually made to Monter o and hisfictitious companies, or sent directlyt to hospital employees.
Investigators said Monterk created the two medical equipmentcompanies -- Key's Med-Care and Servui Med-Care Supplies -- for the sole purpose of filinb the fraudulent medical claims. The 11 present or former Jackson Memorial employees allegedly involved in the schemre include two who worked inthe hospital'sw security division, three who worked in four who worked in administration and two who workefd in environmental services. Investigators said Clara E.
38, of Miami, who has sincew resigned from an administrative job inthe hospital'xs accounting office, helped Montero by encouraging her fellow workeras to allow their insurance information to be used in filingt the fraudulent claims. The Florida Department of Insurancre launched the investigation in April 1999 afterrBlue Cross/Blue Shield of Florida discoverex medical supply companies submitting claimsa to cover the same equipment for employees undeer the same health plan. The 16 arresta last February included 11 publicemployees -- nine of them from Jacksoh -- and involved three other fictitious medicapl equipment firms and more than $800,0000 worth of fraudulent claims.
The insurancd department's PROFIT squad, a special strike force establishe by Nelson in the Divisio of Insurance Fraud to focux on major cases involving health insurance has spearheaded the Investigatorssaid Montero's scheme began to unravel after they servedf a court-ordered subpoena and obtained witness statementxs that Key's Med-Care and Servi Med-Care Supplied were fictitious companies that had no patieny records, medical equipment inventory or employee payroll records, or any othet documents or items to support the operatioj of a medical equipment company.
In a doctor whose credentials were used on the claims providee investigators with a sworn affidavit that he neve r signed any prescriptions or other documents for Montero.
